Massachusetts Lawyers Weekly has quoted Lou Ciavarra in the article, “Renamed LLC Can Pursue Legal-mal Claim,” which details a Superior Court judge’s recent decision that “an LLC has standing to assert malpractice claims against a law firm, even if it did not yet exist when the law firm was retained and it ultimately took a different name than originally contemplated.” Ciavarra noted that this decision regarding fiduciary duty is, “another signal of an attorney’s developing duty to minority shareholders when representing an entity,” which he calls, “scary stuff for those of us who practice representing small businesses.”
